Who qualifies

  • The class includes all persons and entities who purchased or otherwise acquired Kornit ordinary shares during February 17, 2021–July 5, 2022, inclusive, and/or pursuant or traceable to the November 2021 secondary offering. The class definition does not impose a state residency restriction. Only Kornit ordinary shares are covered; receipt of a notice alone does not establish eligibility or guarantee payment.
  • Excluded are the defendants; immediate family of the individual defendants; the former underwriter defendants (Citigroup Global Markets, Barclays Capital, Goldman Sachs & Co. and Morgan Stanley & Co.); subsidiaries and affiliates of Kornit and those underwriters; Kornit officers, directors and controlling persons; entities controlled by a defendant or former underwriter defendant; defendants’ directors’ and officers’ liability insurers and their affiliates/subsidiaries; the former Amazon defendants (Amazon.com NV Investment Holdings and Amazon.com); and the legal representatives, heirs, successors or assigns of excluded parties. Court-accepted opt-outs are also excluded.
  • The notice preserves an exception for investment companies, business entities and pooled investment funds in which former underwriters have an interest or their affiliates advise, where the underwriter alone or with affiliates is not a majority owner or does not hold a majority beneficial interest. Consult notice paragraphs 25–26 for the full exclusion rule.
  • ERISA-plan participants should not include shares bought through the plan in their individual claims. Plan trustees may submit claims for the plan’s purchases. Eligible individual claims should include only shares purchased outside that plan.

How to submit a claim

  1. 1

    Gather your investment records

Collect copies of trade confirmations, account statements or an authorized broker/financial-institution statement documenting your Kornit transactions and holdings. Report all requested activity, including profits, losses and transfers. The form asks for opening holdings on February 17, 2021 and transactions and holdings through October 3, 2022, including the 90-day look-back period. Do not send originals.

  2. 2

    Complete the correct claim form

Use the official online portal or download the paper form. Supply the beneficial owner’s contact information, the last four digits of their Social Security or taxpayer identification number, and the transaction schedule. Submit separate forms for separate legal entities or separately managed accounts; do not combine an IRA with an individual account.

  3. 3

    Sign and attach proof

The beneficial owner and all joint beneficial owners must sign. An authorized representative must identify their capacity and provide evidence of authority. Sign truthfully under penalty of perjury and attach the required supporting records. Missing transaction or holding details can cause rejection.

  4. 4

    File by December 10, 2026

Submit online by December 10, or send the completed paper claim by First-Class Mail postmarked no later than December 10 to Kornit Securities Litigation, c/o JND Legal Administration, P.O. Box 91050, Seattle, WA 98111. Retain copies. The paper instructions say to call 855-961-0955 if an acknowledgment postcard has not arrived within 60 days.

Frequently asked questions

How much will I receive?

There is no fixed award. After approved fees, expenses, administration costs and taxes, the net fund is allocated proportionally using recognized losses under the court-approved plan. Purchase and sale dates and prices, holdings and other valid claims affect payment. The notice’s $0.53 per eligible share is only an estimated average before deductions, not a promised rate.

Can an eligible investor receive no payment?

Yes. The proposed plan assigns zero recognized loss to shares sold before the close of trading on May 10, 2022, and to short sales and purchases covering short sales. An overall market gain results in a zero recognized claim; overall market losses can cap recognized claims. Calculated distributions below $10 are not paid. Read Appendix A for the full calculation.

Do I need proof of purchase?

Yes. Supply genuine records of the requested transactions and holdings, such as trade confirmations, account statements or an authorized broker statement. The parties and administrator do not independently have your investment records. A valid claim is required even if you received a settlement notice.

Is there an exact online cutoff time?

The issued notice, claim form and official dates page specify December 10, 2026 for online submission or mail postmark. They do not state an exact online cutoff time or timezone. Submit early and follow the official portal instructions.

When will payments be sent?

No payment date is guaranteed. The notice schedules the final approval hearing for November 18, 2026 at 3:00 p.m. Eastern Time. Distribution depends on court approval, resolution of appeals and completion of claims processing. Check the official site for changes.

What if I do nothing?

Without a valid claim, you receive no payment. Class members who do not validly exclude themselves remain bound by the settlement and its release if it becomes final. The notice lists October 28, 2026 as the receipt deadline for exclusions and objections; those procedures are separate from filing a payment claim.
