FTAC II stockholders who held Class A common stock at the March 23, 2021 redemption deadline and were entitled to, but did not, redeem all their shares may qualify for a share of a $59.5 million settlement. Awards depend on documented holdings and transactions, the approved allocation plan and other valid claims; there is no fixed individual payment.
Submit a signed Proof of Claim and Release with supporting records online, or mail it legibly postmarked, by January 7, 2027. Who qualifies
- The class includes record or beneficial holders of FTAC II Class A common stock at the March 23, 2021 redemption deadline who were entitled to, but did not, redeem all their shares. It also includes heirs and successors who obtained shares by operation of law. The definition imposes no U.S. or state residency requirement.
- Excluded are the defendants, their immediate families, entities they control, and the legal representatives, heirs, successors or assignees of those excluded parties. Trusts, estates, entities and accounts holding FTAC II Class A or Class B stock for an excluded party’s benefit are also excluded.
- Only qualifying Class A shares are eligible under the allocation plan. Shares redeemed in connection with the merger receive no calculated loss, and option contracts are not eligible securities. The plan assigns zero loss to short sales and purchases covering short sales. Receiving a notice does not by itself establish eligibility or guarantee payment.
- This is a non-opt-out class. Class members cannot exclude themselves and remain bound by the settlement and release if approved, even without a claim.
How to submit a claim
- 1
Gather holding and transaction records
Collect copies of broker confirmations, account statements or equivalent records showing your FTAC II holdings at the close of trading on March 23, 2021; all subsequent FTAC II or New Paysafe purchases, sales and redemptions through February 15, 2023; and New Paysafe holdings at the close of trading on February 15, 2023. Report all requested transactions, including profitable transactions. Do not send originals.
- 2
Complete the official form
Use the official individual online portal for a single account or download the paper claim. Identify the actual beneficial holder, any different record owner, contact details, account number and last four digits of the Social Security or taxpayer identification number. Representatives must identify their capacity and provide evidence of authority. Follow the separate institutional-filing instructions for multiple accounts or large transaction files.
- 3
Sign and attach supporting documents
All joint holders must sign. Complete the claim’s jurisdiction, release, no-duplicate, no-assignment, transaction-completeness and tax-withholding acknowledgments. Attach the required records and respond to additional-information requests. The paper instructions require black or blue ink and warn that incomplete transaction reporting or missing proof can lead to rejection.

Frequently asked questions
How is my payment calculated?
The $59.5 million fund, plus interest, is reduced by approved fees and expenses, administration costs, taxes and other approved deductions. The proposed plan weights each valid claim by its calculated Total Loss relative to all valid claims. Sale price, sale date, continuing holdings and a nominal component affect that calculation. The plan’s $0.10 nominal amount and $8.04 holding-loss component are calculation inputs, not promised per-share payments. Distributions below $10 are not made.
Do I need investment records?
Yes. The claim requires documentation of the requested holdings and transactions, such as stockbroker confirmations or statements. If records are missing, request copies or equivalent documents from your broker. The actual beneficial owner or an authorized representative files the claim, and all joint holders sign.
Can I opt out?
No. The court certified a non-opt-out class. Filing a payment claim and objecting to the settlement are different procedures. The notice lists November 20, 2026 as the receipt deadline for written objections and notices of intention to appear.
Is there an exact online cutoff time?
The issued notice, claim form and official dates page specify January 7, 2027 without an exact online cutoff time or timezone. Submit early and follow the administrator’s current instructions. Mailed claims with a legible timely postmark are treated as received on that date.
When will payments be sent?
No distribution date is guaranteed. The court has scheduled the settlement hearing for December 8, 2026 at 9:15 a.m. Eastern Time. Payments depend on approval, finality and claims processing. Check the official website for changes.
