How we verify settlements

The proposed Atlas Crest stockholder settlement provides a $15 million cash fund for eligible holders of Atlas Crest Class A common stock as of September 10, 2021 who did not redeem all or some of their shares in connection with the Archer Aviation merger. Payment requires a valid proof of claim and supporting holdings and transaction records. It is not an automatic distribution.

The claim deadline is January 4, 2027. Submit online or have a paper claim received by that date. The official form also treats a legible postmark no later than January 4 as receipt on the postmark date. No exact cutoff time or timezone is stated in the materials reviewed.

The case is In re Archer Aviation Inc. Stockholder Litigation, consolidated No. 2024-0527-LWW, in the Delaware Court of Chancery. It concerns alleged interference with an informed redemption decision before the merger. The settling defendants deny wrongdoing. The settlement and allocation remain subject to court approval.

Who qualifies

  • You were a record or beneficial holder of Atlas Crest Class A common stock as of September 10, 2021 and elected not to redeem all or some of those shares in connection with the merger. Successors-in-interest who obtained shares by operation of law are included subject to the settlement terms.
  • Excluded are defendants; immediate family members of individual defendants; entities controlled by defendants or other excluded persons, currently or at the merger closing; and the legal representatives, agents, heirs, estates, successors or assigns of those excluded persons.
  • Recovery under the allocation plan is limited to eligible nonredeemed common shares. Redeemed shares and option contracts do not qualify for a distribution under that plan.
  • The actual beneficial holder or an authorized legal representative must file a timely, valid proof of claim. A record holder such as a broker is not necessarily the beneficial owner.
  • This is a non-opt-out class. Class members cannot exclude themselves, and failing to file a claim does not avoid the settlement releases if the settlement is approved.

How to prepare an Atlas Crest stockholder claim

  1. 1

    Confirm your holdings and eligibility

Check your Atlas Crest Class A holdings at the close of trading on September 10, 2021 and the shares you redeemed in connection with the merger. Review the exclusions in the official notice.

  2. 2

    Gather complete broker records

Document your September 10, 2021 holdings, all subsequent purchases, acquisitions, sales and redemptions through May 16, 2024, and any Archer holdings at the close of trading on May 16, 2024. Attach broker confirmations, statements or equivalent records. The reporting period does not make every later purchase eligible.

  3. 3

Complete and sign the official proof of claim

Provide the requested owner, contact and account details, last four digits of your Social Security number or taxpayer identification number, and transaction schedule. All joint holders must sign. A representative must provide evidence of authority. Review the acknowledgments and tax certification carefully and retain copies.

  4. 4

Submit through the official website or by mail

Follow the claim links on the administrator website. Mail paper claims to Atlas Crest Stockholder Litigation, c/o JND Legal Administration, P.O. Box 91241, Seattle, WA 98111. Online submission or paper receipt is due January 4, 2027; a legible postmark by that date is deemed receipt on the postmark date. The form cautions that USPS may not postmark mail that is not presented in person. Keep submission evidence.

Frequently asked questions

How much could I receive?

There is no guaranteed amount per person or share. The net fund is allocated pro rata using documented eligible shares and transactions under the allocation plan approved by the court. Taxes, administration and court-approved fees and costs reduce the gross fund. Calculated distributions below $10 are not paid.

Are payments automatic?

No. Eligible holders must submit a timely, valid proof of claim with supporting records. Membership in the class alone does not ensure payment, and submitting a form does not guarantee acceptance.

Which documents are needed?

The official form requests broker confirmations, broker statements or equivalent records supporting holdings and transactions. It also requires a signed claim, last four digits of SSN or taxpayer ID and proof of authority for someone acting as a legal representative. Submit copies, not originals.

Is January 4 a receipt or postmark deadline?

The form requires online submission or mail receipt by January 4, 2027, but its footnote expressly treats claims legibly postmarked no later than that date as received on the postmark date. No precise cutoff time or timezone is stated. Preserve a legible postmark and filing records.

Can I opt out instead of filing?

No. The court provisionally certified a non-opt-out settlement class. Class members remain bound by an approved settlement even if they do not submit a claim. Consult the official notice for objection and appearance procedures.

What if I have many transactions or need help?

Contact JND Legal Administration at 1-888-964-1158. Large electronic transaction submissions have special file-layout, signed-paper and claim-number requirements; follow the administrator’s instructions rather than assuming an uploaded file alone completes the claim.

When will payments arrive?

No fixed payment date is promised. Distribution requires court approval of the settlement and allocation and expiration of the applicable rehearing, appeal or review periods. The December 3, 2026 hearing is not a payout date.
