Therefore, in order to have a Recognized Loss Amount under this Plan of Allocation, a Claimant who purchased or otherwise acquired BeautyHealth Common Stock or Call Options during the Settlement Class Period must have held that BeautyHealth Security over the November 13, 2023 date on which corrective information was released to the market, thus removing some if not all of the artificial inflation from the price of that BeautyHealth Security. In addition, a Claimant who sold (wrote) BeautyHealth Put Options during the Settlement Class Period must have still held that position over the November 13, 2023 date on which corrective information was released to the market, thus removing some if not all of the artificial deflation from the price of that BeautyHealth Security.

The Settlement proceeds available for BeautyHealth Call Options purchased/acquired during the Settlement Class Period and BeautyHealth Put Options sold (written) during the Settlement Class Period shall be limited to a total amount equal to 4% of the Net Settlement Fund. Thus, if the cumulative Recognized Loss Amounts for BeautyHealth Call Options and BeautyHealth Put Options exceed 4% of all Recognized Claims, then the Recognized Loss Amounts calculated for option transactions will be reduced proportionately until they collectively equal 4% of all Recognized Claims. In the unlikely event that the Net Settlement Fund is sufficient to pay 100% of the BeautyHealth Common Stock claims, any excess amount will be used to pay the balance on the remaining option-based claims. If a Claimant suffered an overall Market Loss with respect to his, her, or its overall transactions in BeautyHealth Securities during the Settlement Class Period but that Market Loss was less than the Claimant’s Recognized Claim, then the Claimant’s Recognized Claim will be limited to the amount of the Market Loss.

The Settlement Amount will be deposited into an escrow account and will earn interest for the benefit of the Settlement Class. The Settlement Amount plus any interest earned thereon and accretions thereto is referred to as the “Settlement Fund.” If the Settlement is approved by the Court and the Effective Date occurs, the Net Settlement Fund will be distributed to Settlement Class Members who submit valid Claim Forms, in accordance with the proposed Plan of Allocation or such other plan of allocation as the Court may approve. 3. The Net Settlement Fund will not be distributed unless and until the Court has approved the Settlement and a plan of allocation, and the time for any petition for rehearing, appeal, or review, whether by certiorari or otherwise, has expired.

However, because the law provides for a “90-Day look back period” (described in the Plan of Allocation set forth in the Notice), you must provide documentation related to your purchases and sales of BeautyHealth Common Stock during the period from May 10, 2022 to February 9, 2024, inclusive, in order for the Claims Administrator to calculate your Recognized Loss Amount under the Plan of Allocation and process your claim.

4. You are required to submit genuine and sufficient documentation for all of your transactions and holdings in the BeautyHealth Securities set forth in the Schedule of Transactions in Part II A-C of this Claim Form. The Settling Parties and the Claims Administrator do not independently have information about your investments in BeautyHealth Securities. IF SUCH DOCUMENTS ARE NOT IN YOUR POSSESSION, PLEASE OBTAIN COPIES OR EQUIVALENT CONTEMPORANEOUS DOCUMENTS FROM YOUR BROKER. FAILURE TO SUPPLY THIS DOCUMENTATION MAY RESULT IN THE REJECTION OF YOUR CLAIM. DO NOT SEND ORIGINAL DOCUMENTS. Please keep a copy of all documents that you send to the Claims Administrator. Also, please do not highlight any portion of the Claim Form or any supporting documents. The above requests are designed to provide the minimum amount of information necessary to process the simplest claims.

Separate Claim Forms should be submitted for each separate legal entity (e.g., a claim from joint owners should not include separate transactions through an account that is in the name of just one of the joint owners, and an individual should not combine his or her IRA transactions with transactions made through an account in the individual’s name). Conversely, a single Claim Form should be submitted on behalf of one legal entity including all transactions made by that entity on one Claim Form, no matter how many separate accounts that entity has (e.g., a corporation with multiple brokerage accounts should include all transactions made in all accounts on one Claim Form). 3. Agents, executors, administrators, guardians, and trustees must complete and sign the Claim Form on behalf of persons represented by them, and they must: a. expressly state the capacity in which they are acting; b. identify the name, account number, last four digits of the beneficial owner’s Social Security Number (or taxpayer identification number), address, and telephone number of the beneficial owner of (or other person or entity on whose behalf they are acting with respect to) the BeautyHealth Securities; and c. furnish evidence of their authority to bind to the Claim Form the person or entity on whose behalf they are acting. (Authority to complete and sign a Claim Form cannot be established by stockbrokers demonstrating only that they have discretionary authority to trade stock in another person’s accounts.)

Who qualifies

  • People or entities that purchased or otherwise acquired BeautyHealth common stock or call options, or sold or otherwise disposed of BeautyHealth put options, between May 10, 2022 and November 13, 2023, inclusive, and were damaged. The notice identifies the company as SkinHealth Systems Inc., formerly The Beauty Health Company.
  • Under the proposed allocation, qualifying stock or call positions must have been held over the November 13, 2023 corrective disclosure, and qualifying written put positions must have remained outstanding then. Positions sold or closed on or before November 13 have zero recognized loss. A transaction within the class period alone does not guarantee payment.
  • Excluded are the defendants; immediate family members and individual or family trusts of individual defendants; relevant BeautyHealth officers or directors; firms or entities in which defendants have or had a majority ownership interest; BeautyHealth liability insurers; its affiliates, parents and subsidiaries; and BeautyHealth ERISA plans. Exclusions also cover the legal representatives, agents, affiliates, heirs, beneficiaries, successors and assigns of excluded people or entities in those capacities, plus people or entities that validly opt out.
  • Do not include transactions held through a BeautyHealth ERISA plan. Otherwise qualifying transactions outside such a plan may be included. Written calls, purchased puts and short sales of common stock do not receive recognized losses under the proposed plan.
  • The administrator calculates recognized losses using the notice’s formulas, transaction timing and security type. Read the full allocation plan for matching rules, lookback calculations and special transaction rules before filing.

How to claim a BeautyHealth settlement payment

  1. 1

Check your securities and trading dates

Review the class definition, exclusions and holding requirements. Receipt of a notice does not establish eligibility or guarantee a payment.

  2. 2

    Gather trading and holding records

Provide copies of brokerage confirmations, monthly statements or an authorized broker statement for all requested transactions and holdings. Stock records extend through February 9, 2024 for the lookback calculation, with beginning holdings at May 9, 2022 and ending holdings at February 9, 2024. Follow the separate call and put schedules for option holdings and transactions. Lookback-period purchases do not extend the eligible class period.

  3. 3

Complete and sign the official form

The beneficial owner must sign under penalty of perjury; all joint beneficial owners must sign. An authorized representative must document authority. File separately for each legal entity and include all accounts of that entity on its claim. Read the release and follow all official form instructions.

  4. 4

    Submit by January 19, 2027

The notice permits online submission through the official settlement website by 11:59 p.m. Pacific Time on January 19, 2027. For mail, send to BeautyHealth Securities Settlement, c/o Stretto, 410 Exchange, Suite 100, Irvine, CA 92602. The stipulation uses the postmark date only for first-class mail correctly addressed and received with a postmark on the envelope, mailed by the deadline; in all other cases the administrator must actually receive the claim by the deadline. Keep a copy and proof of timely submission.

  5. 5

    Check for an acknowledgment

The form states that a claim is not deemed filed until an acknowledgment postcard or confirmation email is received. Contact Stretto at (855) 905-5327 if none arrives within 60 days. Respond to requests for additional records and watch the official site for approval and distribution updates.

Frequently asked questions

How much will I receive?

There is no fixed payment. Approved legal fees, expenses, plaintiff awards, administration costs and taxes reduce the $18 million fund plus interest. The proposed plan divides the net fund in proportion to recognized claims, which are formula-based amounts rather than promised cash payments. A claim showing an overall market gain has zero recognized claim, and recognized claims are capped by an overall market loss when that loss is smaller. The court may modify the proposed plan.

Are stock and option claims paid the same way?

They use different formulas. Under the proposed plan, eligible call and written-put claims are subject to an aggregate allocation limit of 4% of the net settlement fund and may be proportionally reduced. If the net fund can pay 100% of the common-stock claims, excess funds may pay remaining option claims. See the notice’s full formulas and security-specific tables.

Is there a minimum payment?

A calculated pro rata payment below $10 receives no distribution and is removed from the allocation calculation. This is a distribution threshold, not a guaranteed $10 payment.

Why are stock records after November 13, 2023 required?

The claim form requires stock purchase and sale records through February 9, 2024 to calculate recognized losses during the 90-day lookback period. Purchases after November 13, 2023 do not qualify for payment merely because those records are required.

Can an institution or representative file?

Yes, subject to the official instructions. Representatives filing for multiple claimants and institutional accounts with many transactions must use the administrator’s required spreadsheet format, provide a manually signed claim and proof of authority, and obtain written acknowledgment accepting the data. Contact Stretto for the format. Other claimants may use the ordinary online form without contacting the administrator first.

When is the deadline?

January 19, 2027. Online claims are due by 11:59 p.m. Pacific Time. Properly addressed first-class mailed claims use the postmark date if received with the postmark on the envelope and mailed by the deadline; other submissions use actual receipt. Follow the official notice, claim form and stipulation.

When will payments be sent?

No payment date is promised. Payments require final court approval, the settlement becoming effective, applicable appeal or review periods ending and completion of claims processing. The scheduled December 9, 2026 fairness hearing is not a payment date.
