Seagate Securities Settlement
Last updated:
Sources last checked:
Investors who acquired Seagate common stock during the covered period and suffered qualifying losses may claim a share of a proposed $175 million settlement. File online by 11:59 p.m. Pacific Time October 19, 2026, or mail a claim postmarked by October 19.
Payments depend on the allocation formula, valid claims and the net fund after court-approved deductions. The advertised $1.03-per-share average is not an individual entitlement. Seagate denies wrongdoing; approval and any appeals must be resolved before distribution.

Who qualifies
- The class covers persons and entities who acquired Seagate common stock September 14, 2020 through April 19, 2023, inclusive, and were allegedly damaged. The reviewed definition imposes no separate state-residency requirement.
- Excluded are defendants, current/former Seagate officers and directors, their and the individual defendants’ immediate families, defendant-owned or controlled entities during the period, and excluded parties’ representatives, heirs, affiliates, successors and assigns in those capacities. The presiding judge, staff and their immediate families, plus accepted opt-outs, are excluded.
- Mutual-fund-only ownership and sales without a covered-period acquisition do not qualify. Options themselves are ineligible; stock obtained through option exercise follows the allocation rules.
- Recognized loss requires holding through at least one corrective disclosure: March 8, 2022, July 22, 2022, October 26, 2022 or April 20, 2023. Shares sold before March 8, 2022 have zero recognized loss. An overall market gain yields no recognized claim; actual losses can limit recovery.

Frequently asked questions
Will I receive $1.03 for every share?
No. That illustrative average assumes claims for all eligible shares. The allocation uses recognized losses and a proportional share of the net fund, after deductions.
Is there a minimum payment?
Payments below $10 are not distributed under the allocation plan.
Which securities qualify?
The settlement covers qualifying Seagate common stock. Options themselves and ownership only through a mutual fund do not qualify.
Do I need proof of trading?
Yes. Submit the requested holdings and transactions with broker confirmations, account statements or equivalent certification. Missing documentation can prevent validation.
When will I be paid?
The approval hearing is scheduled for November 17, 2026. Payment depends on approval, appeals and claim processing; no arrival date is guaranteed.
