How we verify settlements

An $11 million proposed settlement concerns stockholder claims over the merger of dMY Technology Group, Inc. IV with Planet Labs. To receive a payment, an eligible claimant must file a valid proof of claim by January 9, 2027. Legibly postmarked mailed claims are treated as received on the postmark date.

The class covers specified holders during December 1–7, 2021, but payment eligibility is narrower: eligible shares were held immediately after 5:00 p.m. Eastern on December 1, 2021 and were not submitted for redemption in the merger. Payments depend on the allocation formula, valid claims and deductions; no fixed per-person amount is guaranteed.

The court has preliminarily certified the class for settlement purposes. Final approval is still required; defendants deny wrongdoing. This is a non-opt-out class, so class members cannot exclude themselves.

Who qualifies

  • The preliminarily certified class includes record and beneficial holders of dMY IV Class A common stock at any time between 5:00 p.m. Eastern on December 1, 2021 and the merger closing on December 7, 2021, including successors who obtained shares by operation of law.
  • For payment under the proposed allocation plan, eligible class members must have held dMY IV Class A shares immediately after the December 1, 2021, 5:00 p.m. Eastern redemption deadline, and those shares must not have been submitted for redemption. Holding later-acquired Planet Labs shares alone does not establish payment eligibility.
  • Excluded are defendants; immediate family of an individual defendant; a parent, subsidiary or affiliate of an entity defendant; entities controlled by a defendant or other excluded person or group, currently or during the class period; and the legal representatives, agents, affiliates, heirs, estates, successors and assigns of those excluded persons. These exclusions apply to the extent those persons held shares during the class period. The notice does not impose a U.S.-residence requirement.
  • Only eligible common shares participate in the allocation. Redeemed shares have no Total Loss, option contracts are not eligible securities, and short sales and shares used to cover them have zero Total Loss.

How to file a claim

  1. 1

    Check the eligible holdings

Review your dMY IV Class A holdings at the December 1, 2021 redemption deadline and identify any shares redeemed in the merger. The settlement notice explains the separate class and payment-eligibility definitions.

  2. 2

    Gather records

Provide holdings at the December 1, 2021 close, all purchases and sales of dMY IV or New Planet common stock after that close through August 19, 2024, and holdings at the August 19 close. Attach brokerage confirmations, statements or equivalent records, including transactions that made a profit.

  3. 3

Complete and sign the official claim

The actual beneficial holder or authorized legal representative must file. All joint holders must sign; representatives must provide authority documents. The form requests the last four digits of the beneficial holder’s Social Security or taxpayer identification number, account details and contact information. Submit only one claim per separate legal entity.

  4. 4

    Meet the January 9 deadline

Submit through the official individual claim portal or send the signed form with copies of supporting records to dMY IV Stockholder Settlement, c/o JND Legal Administration, P.O. Box 91242, Seattle, WA 98111. Claims must be submitted online or received by January 9, 2027; a legible postmark by that date is treated as receipt. The form warns that mail not presented in person may not receive a postmark. No exact cutoff time or timezone is stated.

Frequently asked questions

How is my payment calculated?

The proposed plan assigns a Total Loss to eligible shares. Shares sold before the August 19, 2024 market close for less than $10 receive a calculation of $10 minus the sale price, plus $0.10. Shares sold in that period for $10 or more receive $0.10. Eligible shares held at that close receive $7.16 plus $0.10 per share. These are allocation weights, not promised payments. The net fund is shared in proportion to approved Total Losses; distributions calculated below $10 are not paid. If the net fund exceeds aggregate Total Losses, the excess is also allocated proportionally; Total Loss is not a payment cap.

What reduces the $11 million fund?

The net fund is the $11 million plus interest, less taxes, administration and notice costs, court-approved attorneys’ fees and expenses, and other approved costs. The actual distribution depends on approved claims and the allocation plan. The court may modify that plan; there is no guaranteed per-share or per-person payout.

What transaction rules apply?

The claim form matches transactions first-in, first-out. The notice uses trade dates rather than settlement dates, excludes fees, taxes and commissions from prices, and treats after-hours transactions as occurring in the next trading session. Special rules cover gifts, inheritance, short sales and option exercises; consult paragraphs 58–62 of the notice and supply complete records.

Can I opt out?

No. This is a non-opt-out stockholder class. Class members remain bound by the judgment and releases if the settlement is approved, even if they do not file a claim. Written objections and notices of intention to appear must be received by November 17, 2026, under the official notice.

When will payments arrive?

No fixed payment date is promised. The court hearing is scheduled for December 10, 2026 at 9:30 a.m. in Georgetown, Delaware. Distribution requires final approval, completion of claims processing and expiration or resolution of applicable review and appeals. Check the official website for court changes.

What if I submit a large transaction file?

Follow JND’s institutional filing instructions and obtain the required file format. The paper form says large electronic-file claimants also must submit a manually signed proof of claim and receive a claim number; without that number the submission is not complete. Do not assume that uploading a spreadsheet alone completes a claim.
