Cronos Group U.S. Securities Settlement
Last updated:
Sources last checked:
Investors who purchased or acquired Cronos Group common stock on NASDAQ or another public U.S. stock market from May 9, 2019 through March 30, 2020 may qualify for a payment from a proposed $10 million securities settlement. The class covers eligible investors regardless of their country of residence; purchases on the Toronto Stock Exchange or other non-U.S. markets are outside this settlement.
Submit a complete claim with supporting trading records online, or mail it with a postmark, by November 9, 2026. Payments depend on recognized losses, the number and value of approved claims, deductions from the fund and final court approval. No fixed payment is guaranteed.
The lawsuit alleges false or misleading statements about Cronos’s revenue. Defendants deny wrongdoing. The settlement also releases overlapping Ontario-action claims concerning covered U.S.-market trades if it becomes effective; claims about non-U.S.-market purchases remain outside the release.

Who qualifies
- You are a person or entity that purchased or otherwise acquired publicly traded Cronos common stock on NASDAQ or another public U.S. stock market from May 9, 2019 through March 30, 2020, inclusive, and allegedly suffered damages. Country of residence does not determine eligibility.
- Trades on the Toronto Stock Exchange or other non-U.S. markets do not qualify. Owning a mutual fund that bought Cronos stock does not by itself make you a class member; the fund may have its own claim.
- To have a compensable loss under the proposed allocation plan, covered shares must have been held through at least one alleged corrective disclosure. Shares sold before February 24, 2020 have zero recognized loss. The administrator applies the detailed loss formula and transaction matching in the notice.
- Excluded are defendants; immediate family of individual defendants; Cronos directors, officers and other employees during the class period; entities in which a defendant has or had a controlling or beneficial interest; Cronos employee retirement or benefit plans and participants or beneficiaries to the extent purchases were through those plans; and the legal representatives, affiliates, control persons, heirs, successors or assigns of those excluded persons. Valid opt-outs are also excluded.
How to file a Cronos securities claim
- 1
Gather your trading records
Collect broker confirmations, account statements or other documentation accepted by the administrator. Report beginning holdings, covered purchases, subsequent purchases and sales through June 26, 2020, and ending holdings as the form requires. Self-created spreadsheets or emails alone are insufficient.
- 2
Complete the official claim form
Use the official filing page or download the paper claim form from the administrator’s Notices/Claim Form page. Provide beneficial-owner, contact and account information and the last four digits of your SSN or taxpayer identification number. File a separate form for each account. Do not include trades on non-U.S. markets.
- 3
Attach proof and sign
All joint owners must sign. A representative must identify their capacity and provide authority to act. The claim includes a certification under penalty of perjury. Do not submit duplicate claims for the same transactions; provide any additional records the administrator requests.
- 4
Submit by November 9, 2026
Submit online or mail the signed form and copies of supporting records, postmarked by November 9, to Cronos U.S. Securities Settlement, c/o A.B. Data, Ltd., P.O. Box 173088, Milwaukee, WI 53217. Keep copies and confirmation. The paper form says to contact the administrator if its acknowledgment does not arrive within 60 days.
How the U.S. settlement relates to the Ontario action
If the settlement becomes effective, class members who do not validly opt out release covered U.S.-market claims, including overlapping claims asserted in the Ontario action. The notice says Ontario class counsel objects to the proposed settlement. Non-U.S.-market claims, including TSX purchases, are outside this settlement’s release.
The exclusion deadline is October 29, 2026, and exclusion requests must be received by that date. The official notice explains the required documents, objection procedure and legal consequences. Review those instructions carefully; filing a claim and requesting exclusion are different choices.
Institutional and representative claims
The actual beneficial owner or an authorized legal representative must file. For bulk institutional electronic data files, the issued form additionally requires a manually signed paper claim and the administrator’s acknowledgment accepting the electronic data. This is separate from ordinary online filing.

Frequently asked questions
How much will I receive?
The proposed plan allocates the net settlement fund in proportion to recognized losses, using purchase and sale dates, prices and transaction matching. Approved fees, expenses, administration costs and taxes reduce the $10 million fund. Calculated distributions below $10 are not paid; $10 is not a guaranteed minimum. The notice’s per-share estimates are not a promised payout.
Do I have to live in the United States?
No. The class definition applies regardless of country of residence. The relevant restriction is that the covered Cronos common stock was purchased or acquired on NASDAQ or another public U.S. stock market during the class period.
What if I bought Cronos stock on the Toronto Stock Exchange?
TSX and other non-U.S.-market trades do not qualify for this U.S. settlement. Claims about those trades are not released here. If you also made covered U.S.-market purchases, review the notice’s explanation of how this settlement affects the separate Ontario action.
What proof do I need?
Broker confirmation slips, broker account statements, an authorized broker statement with transaction details, or other documentation the administrator accepts. Records must support the requested purchases, sales and holdings. If a record does not identify the market, the claim form says the administrator will assume U.S.-dollar trades are U.S. trades and other-currency trades are not, unless you establish otherwise.
When will payments be sent?
There is no guaranteed payment date. Payments require final court approval, the settlement becoming effective, resolution of any appeals and claim processing. The final approval hearing is scheduled for November 19, 2026 at 11:00 a.m. Eastern Time, subject to change.
What is the deadline, and does a postmark count?
The claim deadline is November 9, 2026. The issued claim form expressly permits online submission or a mailed claim postmarked by that date. It does not state an exact online cutoff hour or timezone.
